---Call for Investigation
Dear Attorney General Biden:
On behalf of Public Campaign Action Fund, I am calling on your office
to launch an immediate and thorough investigation into W Spann LLC, a
recently-dissolved Delaware Corporation, its officers and agents, and
the circumstances surrounding its incorporation, political activity,
and dissolution.
News reports today revealed that W Spann LLC was formed as a Delaware
corporation in March and dissolved on July 12th. It appears that the
only business activity W Spann carried out while incorporated in the
state of Delaware was the issuance of a One Million Dollar
($1,000,000.00) campaign contribution to “Restore Our Future” a federal
“Super PAC” created to support a candidate for President. The
corporation was dissolved on July 12th just two weeks before “Restore
Our Future” made its initial campaign finance report.
The incorporation of W Spann, apparently for the sole purpose of making
this large campaign contribution, and its subsequent dissolution,
raises very serious questions:
1. Was the corporation created for the sole purpose
of making this donation in an effort to hide the source of the money?
2. Was the source of the money legal under federal
election law?
3. Was the source of the money from a foreign
national or a foreign corporation in an effort to influence our
elections, a violation of federal election law?
The implications of W Spann’s short existence in this post-Citizens
United political world are staggering. It is critical that your office
launch an investigation into this matter immediately for a failure to
do so has the potential of turning the State of Delaware into the
Cayman Islands of political donors.
